Terms & Conditions

The terms and conditions contained herein, including those set forth on the reverse side, constitute the entire agreement between SHEN’S POWER, INC (“Seller”) and the Buyer with respect to the sale of the products herein described (“Products”).  Such terms and conditions shall fully supersede and replace any and all prior written or verbal agreements, understandings or communications between Seller and Buyer with respect to the Products, including those contained in any purchase order submitted by the Buyer.

POLICIES AND PRICES
All prices stated herein are F.O.B. (Free On Board) City of Industry, California, USA.  Seller reserves the right to change prices and specifications set forth in dealer price lists without prior notice.  Should any order be scheduled for shipment more than 60 days after the date hereof, Seller reserves the right to invoice the shipment based on the price prevailing on the date of shipment.  Seller does dealer business only with full time retail establishments having a State Resale Permit (sales tax) and city or county business license.  Others will be required to pay suggested retail prices subject to taxes applicable by state law for the Products.

SHIPPING TERMS
All shipping dates given by Seller are approximate only.  Deliveries shall be subject to delay due to strikes, labor difficulties, natural disasters, delay or defaults of common carriers, or other delays beyond Seller’s reasonable control, event of the occurrence of any of the above contingencies, to cancel this sales agreement, or any portion thereof, without resulting liability.  If it so happens that the Buyer’s item(s) are damaged in transit, the Seller must be notified by Buyer within 24 hours upon receiving the damaged item(s) along with clear images for proof of damage in order for Seller to issue a claim with the shipping company in use after receiving damaged item(s) to Seller’s Returns Department.

SELECT FREE SHIPPING
Unless stated otherwise within the product description, free shipping is available only to customers within the continuous lower 48 states of the United States. The minimum purchase amount to attain free shipping is $500.00 USD. 

Pick up of parts at our location in City of Industry, California will always be welcomed and you will not incur shipping charges on a product if this choice is made unless stated otherwise in the specific product page. 

INTERNATIONAL SHIPPING AND PAYMENT
Additional to the Shipping Terms listed above, there are special requirements for all international purchases and shipping methods. We will only accept payment via bank wire transfer to our bank account. Shipping will be discussed to manage best pricing in regards to shipping methods and handling customs specific to your country. 

All international shipments are subject to fees and duties according to the customs law in the destination country.

SPECIAL ORDER/MADE TO ORDER & USED ITEMS
Special order/made to order items are not normally stocked and cannot be canceled, returned, or exchanged. NO EXCEPTIONS. SP Engineering will not be held responsible for any fulfillment delays. Refused shipments sent back to SP Engineering do not constitute the right to a refund or credit. It is the customer’s responsibility to make all arrangements with SP Engineering for refused shipments. The customer will be responsible for any freight charges/shipping charges associated with the shipment.

All used parts are sold AS-IS. No refunds or exchanges.

RETURN POLICY

Shipments with Damaged or Incorrect Items  

If you receive a shipment and it has the incorrect or damaged items, please contact us within 2 business days.

  • All packaging and shipping labels must STILL be held by you. Do not throw any of it away or we will be unable to file a claim with the shipping company.
  • If you notice damage on the package itself, please inspect it while the shipper is present with you. You can choose to refuse the shipment as well.
  • If the damage is concealed, you must present evidence of the damage to SP Engineering within two business days of receiving the shipment.
  • Please e-mail us at info@sp-power.com to request a damage claim. Please have any supporting documents ready to expedite the claim process, such as photos, Order/Delivery Number, etc.

Returns due to Merchandise Defect
All items sold by SP Engineering are warrantied through their respective manufacturers. If you received a defective item, SP Engineering will facilitate the warranty process with the manufacturer to get you a replacement part. It is up the manufacturer to make a decision on the claim. Understand that all brands have their own warranties, with higher end brands often providing a greater level of support.

SP Engineering is a direct seller for most the brands we sell. As so, we are able to provide a high level of support for the products we sell, and assure that you get the warranty service provided by each manufacturer.

If you received a defective item, we can file a warranty claim through the manufacturer, but repair/replacement shall be provided at the sole discretion of the manufacturer/vendor of the product(s). The customer is responsible for all shipping/handling costs associated with item(s) that are warranted.

Warranty
All items sold by SP Engineering are warrantied through their respective manufacturers.  Please check the item(s) manufacturer for more details.

No warranty will be available if the item(s) are mishandled, abused, or used.

Some item(s) have serial numbers and production numbers to provide a traceable origin and destination and is well documented before leaving our warehouse for warranty purposes. 

If you received a defective item and believe a claim is valid, we can file a warranty claim through the manufacturer. Any decision relating to warranty is at the sole discretion of the manufacturer/vendor of the product(s).

The customer is responsible for all shipping/handling costs associated for item(s) that are warranted.

Refused / Undeliverable shipments
Any refused (without damage claim) or undeliverable shipments that arrive back at our facility will incur all related shipping costs including return freight charges and any return-to-sender fees assessed by the shipping carrier. This will be deducted from your product refund.

Refused shipments which include refusal to sign for your package or pay associated fees, will NOT be entitled to a complete refund of the order. 

Requests for Refund, Store Credit, or Exchanges
A Return Merchandise Authorization (RMA) number must be requested within 10days of delivery of the product. Once approved, all returns must be postmarked within 7 days after RMA number issue date.

Any returns without a RMA number will not be accepted.

Returned or exchanged products must be brand new, unused, and uninstalled. Items should have all original manufacturer's packaging, materials, and accessories, including instruction booklets and packing inserts. The original shipping and return shipping cost to send the item back is not refundable.

A restocking fee may be applicable if the package is returned damaged or deemed unsellable.

We will not accept returns for any of these types of products:

  • Used products
  • ALL Special Order Items. (Items being ordered from overseas or built to order items)
  • Any items marked as Clearance or “Sold As Is”

Guideline for Returning an Item

  • Email info@sp-power.com to request an RMA number.
  • Some boxes are not suitable for shipping. You are responsible for the return shipping, so any damages arising from poorly packaged returns is your responsibility. A restocking fee may be applicable if the package is returned damaged or deemed unsellable. If you have any questions about this please contact us.
  • Write the RMA number clearly on the outer box.
  • Shipping costs is your responsibility. We do not accept COD or freight collect shipments. We recommend a shipping method that provides tracking and insurance.
  • If you received a label via email, print the label and tape it to the carton.
  • Please allow up to five (5) business days after we receive the package for your return / exchange / refund to be processed. An e-mail confirmation will be sent to you once the return is processed.
  • International customers: Please mark the item as "VENDOR RETURN" to avoid duties and customs fees.

APPLICABLE LAW
This sales agreement shall be governed by the laws of the State of California.
